In Catalonia, associations operating primarily within the territory are governed by the Third Book of the Civil Code of Catalonia (Law 4/2008, of April 24).
- The general assembly is the sovereign body. It approves financial accounts, amends bylaws, and elects the board of directors.
- Remote voting and meetings are permitted if provided for in the bylaws. The Civil Code allows governing bodies to meet via videoconference or other communication media, provided the identification of attendees, continuity of communication, ability to participate in deliberations, and vote casting are guaranteed (Article 312-5). It also allows electronic voting when regulated by the bylaws.
- Resolutions without a meeting. Bylaws may also provide for adopting resolutions without holding a formal meeting (Article 312-7).
Do your bylaws not mention electronic voting? You can amend them during a general assembly. Contact us to request our model clause, reviewed by our legal team.
To get started, you only need:
- The roll of voting members, with a unique email address for each person.
- The candidacies or ballot questions to be voted on.
Each voter receives a personal link and can vote from a smartphone, tablet, or computer. Once voting closes, the tally is automatic.
All participants have access to a page explaining how ballot secrecy is protected and how they can verify that the result is accurate. The audit log provides the secretary with all necessary data to draft the official minutes.
It depends on the bylaws. The most common structure is a closed slate that includes, at minimum, president, secretary, and treasurer, plus any desired board members. Some associations vote for each office separately. ElectIQ supports both models. If your association's bylaws establish a different election system, contact us so our technical team can tailor ElectIQ to your internal regulations.
Members in good standing with voting rights under the bylaws. There may be non-voting member categories. The voter roll must be finalized prior to the election.
With closed slates, each voter selects one slate.
Typically, the slate with the most votes wins. If your bylaws define a different threshold or system, we configure the election accordingly.
The Civil Code of Catalonia sets a maximum term of five years for board members. Bylaws may allow for reelection.
